Terms of Service

1. Introduction
These terms of service ("Terms") govern your use of the Tendrex platform ("Service") operated by Tendrex ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms.
2. Account and access
Access to the Service requires authentication via Microsoft Entra ID (Azure AD) SSO. You are responsible for:
- Maintaining the security of your Microsoft account credentials.
- All activity that occurs under your account.
- Ensuring that your use of the Service complies with your organisation's policies.
Organisation administrators are responsible for managing user access, roles, and permissions within their tenant.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload content that is defamatory, obscene, or infringes the intellectual property rights of others.
- Attempt to gain unauthorised access to the Service, other accounts, or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to build a competing product or service.
4. Your content
You retain all rights to the documents, questions, answers, and other content you upload or create in the Service ("Your Content"). By using the Service, you grant us a limited licence to process Your Content solely for the purpose of providing the Service to you.
We do not claim ownership of Your Content. We do not use Your Content to train AI models. When Your Content is sent to third-party LLM providers for answer generation, it is processed under data processing agreements that prohibit the provider from using it for training.
5. AI-generated content
The Service uses artificial intelligence to generate draft answers to tender questions. You acknowledge that:
- AI-generated answers are drafts intended for human review and are not guaranteed to be accurate, complete, or suitable for submission.
- You are solely responsible for reviewing, editing, and approving all answers before use in any tender submission.
- We are not liable for any loss or damage arising from reliance on AI-generated content without adequate human review.
6. Data isolation
The Service operates on a multi-tenant architecture with organisation-level data isolation. Your Content is separated from other organisations' data and is accessible only to authenticated users within your organisation, subject to role-based access controls.
7. Service availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. We may:
- Perform scheduled maintenance with reasonable advance notice.
- Temporarily suspend the Service for emergency maintenance or security reasons.
- Modify or discontinue features with reasonable notice.
8. Intellectual property
The Service, including its design, features, code, documentation, and branding, is owned by Tendrex and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
9. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, whether express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claims arising from these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access if you breach these Terms. Upon termination:
- Your right to access the Service ceases immediately.
- We will retain Your Content for 90 days to allow data export, after which it will be deleted.
- Provisions that by their nature should survive termination will remain in effect.
12. Governing law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via the platform or by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
